What is\u00a0whistleblowing<\/em>?<\/h3>\n

Whistleblowing<\/em>\u00a0is a tool designed to bring to the attention of Lorenzi Srl (\u201cLorenzi<\/strong>\u201d or the \u201cCompany<\/strong>\u201d) violations (behaviors, acts or omissions) of laws or company protocols, which harm the public interest or the integrity of Clas through an internal report (in written or oral form).<\/p>\n

How can I make a report?<\/h3>\n

 <\/p>\n

The report can be made in good faith through the internal reporting channel (Whistleblowing Platform<\/u><\/a>).<\/p>\n

 <\/p>\n

How is Lorenzi\u2019s\u00a0whistleblowing<\/em>\u00a0regulated?<\/h3>\n

 <\/p>\n

In accordance with current legislation on the protection of the\u00a0whistleblower<\/em>, the\u00a0Proceeding<\/u><\/a>\u00a0describes the process of managing\u00a0whistleblowing\u00a0<\/em>for Lorenzi and is aimed at protecting the confidentiality of the identity of the reporting person, of the person involved or in any case mentioned in the report and at protecting against any act of retaliation, direct or indirect, against the reporting person for reasons connected, directly or indirectly, to the report.<\/p>\n

Who can make a report?<\/h3>\n

 <\/p>\n

Based on the legislation currently in force and applicable to the Company, the report can be made by any person linked to the Company\u2019s activity, such as employees and collaborators, suppliers and customers, partners and people with administrative, management, control, supervisory or representation functions.<\/p>\n

Can a report be made anonymously?<\/h3>\n

 <\/p>\n

Yes, it is possible to make a report anonymously through the Whistleblowing Platform.<\/p>\n

 <\/p>\n

Is it possible to make an oral report?<\/h3>\n

 <\/p>\n

Reports can be made either in written or oral form. For oral reports, the reporting person can, alternatively, attach an audio file or request a direct meeting with the Reports manager through the Whistleblowing Platform.<\/p>\n

 <\/p>\n

What types of violations can be reported?<\/h3>\n

 <\/p>\n

Violations of regulatory provisions in the context of the Company\u2019s activity.<\/p>\n

Violations of the Company\u2019s Organization, Management and Control Model, pursuant to Legislative Decree no. 231\/2001<\/p>\n

Violations of other codes of conduct, policies and corporate procedures in force from time to time in the corporate organization of the Company<\/p>\n

 <\/p>\n

What should be indicated in the report?<\/h3>\n

 <\/p>\n

For effective management of the report, it is appropriate that it contains every element useful for carrying out checks on its validity, also by transmitting any documentation regarding the reported facts, such as, for example:<\/p>\n

    \n
  • a detailed description of the facts that occurred and the ways in which the reporting person became aware of them;<\/li>\n
  • date and place where the reported facts occurred;<\/li>\n
  • identifying elements or elements that may allow the identification and role of the people involved;<\/li>\n
  • identifying elements of any other subjects who are aware of the reported facts or who may provide information on such facts.<\/li>\n<\/ul>\n

    Who analyses the reports?<\/h3>\n

     <\/p>\n

    The reports are conveyed to the Supervisory Body of the Company (OdV), which is also the only entity authorized to access the Whistleblowing Platform and manage them.<\/p>\n

    The OdV, preliminarily, starts the preliminary investigation on the content of the report and decides whether to archive it, in case of manifest groundlessness or, proceed, on the basis of the evidence provided, to further investigations.<\/p>\n

    Then, on the basis of the checks carried out, the OdV takes the initiatives envisaged in the Whistleblowing Procedure, identifying any corrective and\/or improvement actions to be implemented.<\/p>\n

     <\/p>\n

    How is the confidentiality of the identity of the whistleblower guaranteed?<\/h3>\n

     <\/p>\n

    The Company ensures forms of protection for the protection of the identity of the whistleblower and of the other persons involved in the reported facts, as well as discretion and confidentiality in the entire process of managing the reports, from the reception phase to the investigation and final phase.<\/p>\n

    The Whistleblowing Platform, through appropriate IT protection measures, guarantees the confidentiality of the identity of the whistleblower, of the person involved and of the person mentioned in the report, as well as of the content of the report and the related documentation.<\/p>\n

    The possibility of having knowledge of such identifying elements is reserved only to the OdV which is the only person authorised to access the Whistleblowing Platform, and therefore can view the identity of the whistleblower, who is automatically informed of the circumstance through the Platform itself.<\/p>\n

    In the event that it is necessary to share the identity of the whistleblower with other entities, the authorisation of the whistleblower is required.<\/p>\n

    The Company provides for the protection of the whistleblower from any form of retaliation.<\/p>\n

     <\/p>\n

    How is protection from defamatory reports guaranteed?<\/h3>\n

     <\/p>\n

    Defamatory reports are not permitted and are censored.<\/p>\n

    When, with a sentence, even if not final at first instance, the criminal liability of the reporting person for the crimes of defamation or slander is ascertained or his civil liability, for the same reason, in cases of fraud or gross negligence, the protections from retaliation do not apply and a disciplinary sanction is imposed on the reporting person.<\/p>\n

    How are the personal data of the whistleblower managed?<\/h3>\n

     <\/p>\n

    Reports and related documentation are retained for no longer than five years from the closing date.<\/p>\n

    The processing of personal data is carried out in accordance with the GDPR (General Data Protection Regulation \u2013 EU Regulation 2016\/679).<\/p>\n","protected":false},"excerpt":{"rendered":"
